Terms of Service

The terms that govern your use of FlowLearn. Please read these carefully before using our platform.

01Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and MB Verslas Academy (“FlowLearn,” “we,” “us,” or “our”), governing your access to and use of the FlowLearn platform at flowlearn.io.

By creating an account or using FlowLearn, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree with these Terms, do not use FlowLearn.

02Description of Service

FlowLearn is a B2B SaaS platform that enables course creators and organizations to build, deliver, and improve online courses using AI-powered tools. The platform provides:

  • AI-powered course creation from instructor demonstrations and voice input
  • Conversational AI tutoring for learners, trained on instructor content
  • Analytics dashboards showing learner progress and content gaps
  • Multi-tenant workspaces with role-based access control
  • Community features including forums and direct messaging

FlowLearn is provided to course creators and organizations (“Customers”). Customers may use FlowLearn to deliver courses to their own end users (“Learners”). These Terms apply to all users of the platform, including Customers and Learners.

03Account Registration

To use FlowLearn, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

04Subscriptions & Billing

FlowLearn is offered through monthly and annual subscription plans. By subscribing, you agree to the following billing terms:

Payment processing

All payments are processed securely through Stripe. FlowLearn does not store your credit card details. By providing payment information, you authorize us to charge the applicable subscription fee through Stripe.

Auto-renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the then-current subscription fee at each renewal.

Price changes

We may adjust subscription pricing from time to time. If we change the price of your plan, we will notify you at least 30 days before the change takes effect. Continued use of FlowLearn after the price change constitutes acceptance of the new pricing.

05Cancellation & Refunds

Monthly subscriptions

You may cancel your monthly subscription at any time. Upon cancellation, you will retain access to FlowLearn until the end of your current billing period. No refunds are issued for monthly subscriptions.

Annual subscriptions

If you cancel an annual subscription within 14 days of the initial purchase or renewal, you are eligible for a pro-rated refund for the unused portion of your subscription. After 14 days, no refund will be issued, but you will retain access to FlowLearn for the remainder of your annual billing period.

How to cancel

To cancel your subscription or request a refund, contact us at support@flowlearn.io. We will process cancellations and eligible refunds within 10 business days.

06Content Ownership & License

Your content

You retain full ownership of all content you create, upload, or submit to FlowLearn, including course materials, text, images, and voice recordings. By using FlowLearn, you grant us a limited, non-exclusive, worldwide license to host, display, and deliver your content solely for the purpose of operating the platform and providing the service to you and your Learners.

Content responsibility

You represent and warrant that you have all necessary rights, licenses, and permissions to use and share the content you upload to FlowLearn, and that your content does not infringe the intellectual property rights of any third party. You are solely responsible for the content you create and distribute through the platform.

License termination

The license granted to FlowLearn terminates when you remove your content from the platform or when your account is closed. We will delete your content in accordance with our data retention practices outlined in our Privacy Policy.

07Course Creator Responsibilities

If you use FlowLearn as a course creator or organization (“Customer”), you acknowledge and agree to the following additional responsibilities:

Payment gateways

FlowLearn does not collect, process, or manage payments on behalf of course creators. If you charge Learners for access to your courses, you are responsible for integrating and managing your own payment gateway. FlowLearn bears no liability for transactions between you and your Learners.

Legal and tax compliance

You are solely responsible for complying with all applicable laws, regulations, and tax obligations in your jurisdiction related to selling courses, collecting payments, and issuing invoices or receipts to your Learners.

Learner relationships

The relationship between a course creator and their Learners is between those parties. FlowLearn is a technology provider and is not a party to any agreement, transaction, or dispute between a course creator and a Learner.

Data processing

If your organization requires a Data Processing Agreement (DPA) for GDPR compliance, one is available upon request. Please contact support@flowlearn.io and we will provide a signed DPA.

08Acceptable Use Policy

You agree not to use FlowLearn to create, upload, distribute, or facilitate any content or activity that:

  • Is unlawful, fraudulent, or deceptive in any way
  • Promotes violence, hatred, discrimination, or harassment against any individual or group
  • Contains or distributes sexually explicit material involving minors
  • Infringes upon the intellectual property, privacy, or other rights of any third party
  • Contains malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to systems
  • Involves phishing, spam, or other deceptive communication practices
  • Misrepresents your identity, qualifications, or affiliation with any person or organization
  • Violates any applicable law, regulation, or industry standard

We reserve the right to review, remove, or disable access to any content that violates this Acceptable Use Policy, at our sole discretion and without prior notice. Repeated or severe violations may result in immediate account suspension or termination.

If you encounter content on FlowLearn that you believe violates this policy, please report it to support@flowlearn.io.

09AI-Generated Content

FlowLearn uses artificial intelligence to power its tutoring features and assist with course content generation. You acknowledge and agree that:

  • AI-generated responses are produced by automated systems and may contain inaccuracies or errors
  • AI tutoring does not constitute professional, legal, medical, financial, or any other form of certified advice
  • You should independently verify any information provided by the AI tutor before relying on it
  • FlowLearn is not liable for any decisions or actions taken based on AI-generated content

We continuously work to improve the quality and accuracy of our AI systems, but we cannot guarantee that AI-generated content will be error-free or suitable for any particular purpose.

10Intellectual Property

The FlowLearn platform, including its software, design, branding, logos, and documentation, is the intellectual property of MB Verslas Academy and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the FlowLearn platform, nor may you reverse engineer or attempt to extract the source code of the software, unless permitted by applicable law or with our explicit written consent.

“FlowLearn” and the FlowLearn logo are trademarks of MB Verslas Academy. You may not use our trademarks without prior written permission.

11Limitation of Liability

To the maximum extent permitted by applicable law, FlowLearn and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities, arising out of or in connection with your use of the platform.

The FlowLearn platform is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall our total aggregate liability exceed the amount you have paid to FlowLearn in the twelve (12) months preceding the event giving rise to the claim.

No income or results guarantees

FlowLearn does not guarantee any specific results, outcomes, or earnings from using the platform. Any references to completion rates, student engagement, or business outcomes on our website or marketing materials are aspirational and not promises of performance. Your results depend on factors beyond our control, including the quality of your content and your audience.

Service availability

We strive to keep FlowLearn available at all times, but we do not guarantee uninterrupted or error-free service. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service downtime or interruptions.

Third-party services

FlowLearn integrates with third-party services including payment processors, AI providers, and cloud infrastructure. We are not responsible for the availability, accuracy, or performance of these third-party services. Any issues arising from third-party services are subject to those providers’ own terms and policies.

Data loss

While we take reasonable measures to protect your data, we cannot guarantee that data loss will never occur. You are responsible for maintaining your own backups of any content you upload to FlowLearn. We are not liable for any loss of data, content, or materials stored on the platform.

12Indemnification

You agree to indemnify, defend, and hold harmless FlowLearn, MB Verslas Academy, and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the FlowLearn platform
  • Content you create, upload, or distribute through FlowLearn
  • Your violation of these Terms or any applicable law
  • Your infringement of any third party’s intellectual property or other rights
  • Any dispute between you and your Learners

This indemnification obligation survives the termination of your account and these Terms.

13Termination

We may suspend or terminate your access to FlowLearn at any time, with or without notice, if we reasonably believe that you have violated these Terms or our Acceptable Use Policy.

Upon termination, your right to access FlowLearn ceases immediately. We will retain your data for a reasonable period to allow you to export your content, after which it will be deleted in accordance with our Privacy Policy.

You may terminate your account at any time by contacting us at support@flowlearn.io or through the account settings in the platform. Termination of your account does not relieve you of any obligation to pay outstanding subscription fees.

14Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania and applicable European Union regulations.

Before filing any legal claim, both parties agree to attempt to resolve the dispute informally by contacting support@flowlearn.io. If the dispute is not resolved within 30 days, either party may proceed to the courts of Vilnius, Lithuania.

If you are a consumer within the European Union, you may also be entitled to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights under mandatory consumer protection legislation in your jurisdiction.

15Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice on the platform at least 30 days before the changes take effect.

Your continued use of FlowLearn after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using FlowLearn and cancel your subscription.
